Thank you for visiting the Frequently Asked Questions page. We have compiled below a list of the most commonly asked questions regarding the Bank’s virtual 2025 Annual Stockholders’ Meeting (Meeting). Before contacting the Bank, please see if your query was already asked and answered below.

  1. When and where will Chinabank be holding its Meeting?
    The Bank will be holding the Meeting on 24 April 2025 (Thursday) at 4:00 p.m. (Manila Time) in a virtual setting through a livestream broadcast.
     
  2. What is a stockholders’ meeting in hybrid format?
    It is a combination of in-person and remote attendance. In-person attendance at the meeting will be held at the Penthouse, Chinabank Building, 8745 Paseo de Roxas corner Villar St., Makati City.

    The meeting will be livestreamed via Zoom for those participating remotely or in absentia after registration at https://www.chinabank.ph/asm2025

    The virtual aspect of the meeting is allowed by the Securities and Exchange Commission (SEC) through its 20 March 2020 Memorandum Circular No. 6 Series of 2020 which allowed publicly-listed companies to hold meetings of stockholders and of the board of directors by remote communication to mitigate the impact of the temporary cessation of business operations of private establishments. This is likewise allowed by Article III, Section 6 and 7 of the Bank’s Amended By-Laws.
     
  3. I am a Chinabank stockholder. How can I join the virtual Meeting?
    Stockholders of record as of 06 March 2025 may choose to vote and ask questions online and watch the livestream broadcast by registering to participate in the Meeting from 10 March to 16 April 2025. Please read the guidelines or the question on registration below for the online registration details.
     
  4. Where can I find the guidelines and requirements for the Meeting?
    You can find the guidelines and requirements by clicking on the GUIDELINES icon in home page of this website.
     
  5. How can I vote and ask questions?
    If you have successfully registered and have received your log-in credentials via email, you can cast your votes on matters set for agenda in the Meeting using the Online Voting System and submit questions or comments by sending an email at investor-relations@chinabank.ph. Questions must be submitted by 5:30 PM of 23 April 2025, and Votes can only be submitted until the meeting is adjourned on 24 April 2025.
     
  6. Will my questions be answered during the Meeting?
    We will endeavor to include your questions and answer the same during the livestream broadcast however, due to time constraints, any questions or comments submitted and received, but not addressed during the livestream, shall be answered directly through the registered email address of the stockholder asking the question.
     
  7. Can I appoint a proxy if I will not be able to attend the virtual Meeting?
    Yes, you can appoint a proxy by submitting a signed and scanned copy of the proxy form via email to OCSSTOCKS@chinabank.ph on or before 16 April 2025, 5:00 p.m.

  8. Do I need to submit a physical copy of the proxy to the Corporate Secretary?
    Yes. The physical copy of said proxy form must be sent to the OCS, 11th Floor Chinabank Building, 8745 Paseo de Roxas corner Villar St., Makati City within 2 weeks after the adjournment of the Meeting through personal delivery (if possible), registered mail, or private courier at your choice.
     
  9. I do not know anyone who I can appoint as proxy, or the regular person I appoint as proxy is unavailable, what can I do?
    You may appoint the Chairman of the Meeting as your proxy. In this case, your votes will automatically be counted.
  1. How will the quorum be determined?
    All stockholders of record as of 06 March 2025 who have successfully registered and were duly verified by the Bank will be deemed as present for purposes of determining the quorum for the meeting.

    Stockholders who has submitted proxies to the Bank, as well as those with existing and valid proxies who appointed the Chairman or other members of the Board of Directors as their proxies will also be deemed as present for purposes of quorum.
     
  2. I successfully registered for the ASM, will I still be counted as part of the quorum if I do not vote and/or watch the livestream broadcast?
    Yes. All stockholders of record as of 06 March 2025 who have successfully registered and were duly verified by the Bank will be deemed as present for purposes of determining the quorum for the meeting even if no votes were cast or if the stockholder did not watch the livestream broadcast.
      
  3. What happens if I already submitted a proxy, or already have an existing and valid proxy, and I still register to vote using OVS?
    Your proxy will be deemed revoked. You will then be required to go through the OVS if you wish your votes to be counted.
  1. Who can register for the virtual ASM?
    All stockholders of record as of 06 March 2025 may register for the Meeting.
     
  2. When should I register?
    The Bank will be accepting online registration from 10 March until 16 April 2025.
      
  3. Why do I need to register?
    The registration process and the accompanying verification and validation procedures to be conducted are to ensure your identity, safeguard your data, and protect your rights as a valuable stockholder of the Bank.

  5. What happens if I do not register but I still want to vote?
    You will not be able to vote through the Online Voting System (OVS) if you do not register.
     
  6. I’ll be attending the meeting in my personal capacity as an individual stockholder and as a representative of a corporate stockholder or as a representative in a joint account, do I need to register for each capacity?
    Yes. You must register as many times as necessary to cover each of your respective capacities. To illustrate, if you have already registered in your personal capacity as a stockholder of the Bank, then you must register again but this time, in your capacity as representative of the corporate stockholder or joint account.
      
  7. I hold multiple stock certificates of the Bank; do I need to register each one?
    No. Only one stock certificate number is requested from you in order to complete your registration process. During the voting process, all your stockholdings will be consolidated together for your voting needs.
     
  8. I co-own shares of stock with other people in a Joint Account or an AND/OR account, will the shares in said account be consolidated along with the shares I hold personally?
    No. You will have to register the account separately as a representative of the joint account. In this case, you will be asked by the registration system to provide an Authorization Letter duly signed by all stockholders in the joint account assigning you as their representative to exercise the right to vote. Please note that only the named representative in the Authorization Letter will be allowed to access the OVS Portal.

  9. I forgot the password to my email, or I do not have an email address, can I use the email address of someone else?
    To protect your privacy, personal data and information, identity, and rights as a stockholder, the Bank highly discourages the use of an email address that does not belong to you. Please remember that your log-in credentials to both the OVS Portal and livestream invitation, as well as official communications from the Bank, will be sent to this email address hence, we advise that you use your own active personal email address.

    The Bank also discourages the use of the following:
    1. Inactive email addresses
    2. Email addresses of family members
    3. Work emails
    4. Compromised emails or emails with two or more people having access
        
  10. How do I know if my registration was successful and my data and documents verified and validated?
    You will receive an email from the Bank within three (3) business days from the date of your completion of the registration process.  The email serves as confirmation that your data has been validated and you have been successfully registered. It will also include your log-in credentials for the OVS Portal as well as detailed instructions on how to vote.
      
  11. It’s been three (3) days and I have not yet received an email from the Bank, what do I do now?
    In case you have not received an email concerning your registration within three (3) business days, you may contact the Bank directly at OCSSTOCKS@chinabank.ph or call (+632) 8885-5135.
  1. What is the Online Voting System (OVS)?
    The OVS is a secured online and digital platform where the stockholders of the Bank may cast their votes on matters set for agenda in the Meeting from the safety and comfort of their own homes. The OVS can be accessed through the OVS Portal by using the link included in the email confirming your registration or by visiting https://www.chinabank.ph/asm2025 and clicking the VOTE icon or by clicking here.
     
  2. Why are we using OVS?
    The OVS is part of the Bank’s initiative to continuously promote shareholder rights. With the COVID-19, the use of the OVS will uphold the Bank’s commitment to protect the health and safety of all its stockholders, employees, customers, and the public as a whole. 
      
  3. Is the OVS allowed by the Revised Corporation Code of the Philippines (RCCP)?
    Yes. Under both Sections 49 and 57 of the RCCP, as supported by the Securities and Exchange Commission (SEC) Memorandum Circular No. 6 series of 2020, stockholders may exercise their right to vote through remote communication or in absentia.
     
  4. Is the OVS allowed by the Bank’s By-Laws?
    Yes. An amendment to the Bank’s By-Laws to allow stockholders to attend Meetings voting through remote communication or and exercise their right to vote in absentia has been approved by the Board of Directors and was ratified by the stockholders during the Bank’s 2020 Annual Meeting of Stockholders held last 18 June 2020, and was subsequently approved by the Securities and Exchange Commission on 18 July 2022. 
     
  5. When can I start casting my votes?
    The online voting period starts on 10 March 2025 until the meeting is adjourned on 24 April 2025.
      
  6. Where can I find my OVS log-in username and password?
    You will receive an email from the Bank within three (3) business days from the date of your completion of the registration process.  The email serves as confirmation that your data has been validated and you have been successfully registered. It will also include your log-in credentials for the OVS Portal as well as detailed instructions on how to vote.
      
  7. I have forgotten my log-in credentials and cannot find the confirmation email that was sent to me. What should I do?
    You may contact the Bank at OCSSTOCKS@chinabank.ph or call (+632) 8885-5135.
     
  8. Will I be able to view the livestream through the OVS?
    No. The OVS is designed exclusively for purposes of voting on matters set for agenda in the Meeting. You can watch the livestream broadcast by clicking the WATCH IT HERE button found in the home of this website.
     
  9. Will the Bank continue making use of the OVS after the Meeting?
    Yes. The OVS is part of the Bank’s initiative to continuously promote shareholder rights by opening new avenues for shareholder participation using modern-day digital and internet technology. The Bank will continue to use the OVS moving forward in any and all future stockholders’ meetings, whether regular or special.
      
  10. Who can vote through the OVS?
    Only stockholders of record as of 06 March 2025 who have successfully completed the online registration process and received their login credentials can access the OVS Portal.
      
  11. I’ll be attending the meeting in my personal capacity as stockholder and as a representative of a corporate stockholder or as a representative in a jointly owned share of stock, do I need to vote for each capacity?
    Yes. You must vote as many times as necessary to cover each of your respective capacities. To illustrate, if you have already voted in your individual and personal capacity as a stockholder of the Bank, then you must vote again but this time, in your capacity as representative of the corporate stockholder. This is, of course, assuming that you have also registered each capacity during the registration process.
      
  12. I made a mistake during the voting process and have already submitted my votes; can I still change them?
    Yes. If you have already cast your vote but wish to change the same, you may log-in once again and re-cast your votes which will overwrite your previous votes. You may only change your votes within the voting period.
      
  13. What happens if I lose internet connection while voting in the OVS?
    Provided that you have not yet clicked the “Submit” button, you may continue voting once your connection is re-established. Stockholders are advised to ensure a stable internet connection during online registration, voting, and viewing of the Livestream broadcast of the Meeting.
  1. I am a stockholder of the Bank and have already gone through the online registration process, do I still need to register for the Livestream Broadcast?
    Stockholders of record as of 06 March 2025 who have successfully completed the online registration process and were duly verified by the Bank will be provided a direct link to the livestream broadcast of the Meeting.
     
  2. Who else can watch in the livestream broadcast of the Meeting?
    For stockholders who were not able to complete the registration process, members of the press, and other interested parties who wish to view the livestream broadcast may do so by visiting the microsite and clicking on the WATCH IT HERE button found in the home of this website.
      
  3. Can I vote during the livestream broadcast?
    No. Voting for stockholders may only be done through the Online Voting System.
     
  4. Will a video recording of the livestream broadcast be available after the ASM?
    Yes. A recording of the full meeting will be available in the main page of this microsite. Simply click on the WATCH IT HERE button found in the home of this website.
      
  5. What happens if I lose internet connection while the livestream broadcast is ongoing?
    For stockholders, please login again using the invitation link sent to you through your registered email.

  6. Can I share my invitation link to watch the livestream?
    No. The invitation link is unique to you and only one person may watch the livestream broadcast through that link.
