Our corporate governance structure, principles, and policies, and the specific and general duties and responsibilities of the Board and of the individual directors are contained in our Manual on Corporate Governance.
The Manual is aligned with the Bangko Sentral ng Pilipinas (BSP) Circular No. 749: Guidelines in Strengthening Corporate Governance in BSP Supervised Financial Institutions, the applicable provisions in the BSP Manual of Regulations for Banks (MORB), the Revised Disclosure and Listing Rules of the Philippine Stock Exchange (PSE), and the Securities and Exchange Commission (SEC) Memorandum Circular No. 19: Code of Corporate Governance for Publicly-Listed Companies. The Manual is also kept updated in line with new regulatory issuances, including BSP Circular No. 969: Enhanced Corporate Governance Guidelines for BSP-Supervised Financial Institutions, BSP Circular No. 971: Guidelines on Risk Governance, and SEC Memo No. 15: Integrated Annual Corporate Governance Report (I-ACGR). The Manual is also updated to reflect changes in local governance rules and regulations and the ASEAN Corporate Governance Scorecard.
